These Terms of Service ("Terms") govern your use of Liftline Analytics ("Service") operated by Liftline Analytics, LLC ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Service.

2. Description of Service

Liftline Analytics provides revenue intelligence and analytics software for ski resorts and outdoor recreation businesses. Our Service includes:

• Data analysis and visualization tools
• Revenue optimization recommendations
• Weather correlation analytics
• Demand forecasting features
• Reporting and insights delivery

3. Account Registration

To use our Service, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized use
• Be responsible for all activities under your account

4. Subscription and Payment

Billing

• Subscription fees are billed monthly in advance
• All fees are in US dollars unless otherwise stated
• Prices are subject to change with 30 days' notice
• You authorize us to charge your payment method for all fees

Free Trial

We may offer a free trial period. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel.

Refunds

Monthly subscriptions are non-refundable. If you cancel, you will have access until the end of your current billing period.

5. User Responsibilities

You agree to:

• Use the Service only for lawful purposes
• Not upload malicious code or harmful content
• Not attempt to gain unauthorized access to our systems
• Not use the Service to violate any applicable laws
• Ensure you have rights to any data you upload

6. Data and Content

Your Data

You retain all rights to your business data. By uploading data to our Service, you grant us a limited license to process and analyze it solely to provide our Service to you.

Aggregated Data

We may create aggregated, anonymized data from your usage for improving our Service, developing new features, and industry research. This data will not identify you or your business.

7. Intellectual Property

All intellectual property rights in the Service, including software, algorithms, and content, remain with Liftline Analytics. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the use of the Service. This includes your business data and our proprietary algorithms and methodologies.

9. Service Level and Support

• We strive for 99.9% uptime, excluding scheduled maintenance
• Support is provided via email during business hours
• Priority support available for Professional tier subscribers
• We will notify you of planned maintenance in advance

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, or consequential damages
• We are not responsible for lost profits or revenue
• These limitations apply even if we have been advised of the possibility of such damages

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your business data or content

12. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

13. Termination

By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

By Us

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment of fees
• Illegal or harmful activities
• Extended period of inactivity

Effect of Termination

Upon termination:

• Your access to the Service will cease
• We will delete your data within 30 days (unless legally required to retain)
• You remain liable for any outstanding fees
• Sections that by nature should survive will remain in effect

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Continued use after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be resolved in the courts of Delaware.

16. Dispute Resolution

We encourage resolution through good faith negotiation. If that fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, except you may pursue claims in small claims court if eligible.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Liftline Analytics regarding the use of our Service.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

21. Special Terms for Beta Features

Beta features are provided "as is" without warranties. We may modify or discontinue beta features at any time without notice.
